We keep efficient enterprises for the economy: how Rosselkhozbank works with non-core assets

First Deputy Director of the Department for Working with Distressed Assets of the Russian Agricultural Bank, Anzhelika Tabusheva, spoke in an interview about how the bank sells assets and helps preserve existing businesses in order to attract specialized investors who are able to develop them. - Do you have examples of successful implementation and subsequent operation of assets in your practice?

- Of course there is, this is what we are working for. There are many such examples. As a result, we keep an efficient enterprise for the economy that provides jobs. This is often a great opportunity for residents of small villages and towns to work close to home. So in October 2020, the bank sold the building of the former Zarya hotel in the city of Vladimir. Currently, the owner is carrying out a large-scale rebranding of the building, attracting investments, the hotel continues its commercial activities, which is especially important against the background of the development of domestic tourism.

Also in December 2020, the bank sold a property complex in Moscow, which was acquired by a large developer to develop the infrastructure of a residential complex under construction. The construction of this residential complex is currently being completed.

In Yoshkar-Ola, in August 2021, we sold non-residential premises, which now house a catering establishment. And the buyer was the tenant of the property attracted by the bank.

From May to August 2021, during the sowing and harvesting season in the Noginsk District of the Moscow Region, the bank sold 4 agricultural land plots, which are now processed and used for growing crops.

- Who usually acts as an investor in such transactions?

- Investors, as a rule, are companies that have a core business by the type of property being acquired. They are interested in increasing the volume of their activities and expanding the geography of their business.

Investors' interest in assets is primarily related to the reliability of the conclusion of purchase and sale transactions with the bank in comparison with the conclusion of transactions with unverified counterparties. When making transactions with the bank, the risks of challenging the property in court or transferring it to the buyer in an inadequate condition are minimal.

- What interesting assets are in the process of implementation right now?

- Of the assets sold by the bank, one can single out a pasta factory located in the city of Nalchik of the Kabardino-Balkarian Republic. The factory is a full-fledged complex of buildings and specialized equipment for the production of finished products, with a potential production capacity of 10 tons per year.

Also, at the moment, the bank is selling a shopping center in the city of Yoshkar-Ola of the Republic of Mari El, with an area of ​​4 thousand square meters. meters, located in a large residential area of ​​the city and equipped with all the necessary communications for organizing a rental business.

In the Krasnodar Territory, a large production site is being implemented on the basis of the former Cannery, which can be used to organize a transport and logistics center, due to its proximity to the seaport in the city of Novorossiysk (50 km), as well as as an energy-intensive production.

- How profitable is this acquisition?

- The acquisition of these assets is beneficial for potential investors because the bank, as the owner of the property, ensures their safety and investment attractiveness. All assets are ready-made platforms for organizing a successful business and developing production and trading capacities. At the same time, the conclusion of transactions with the bank is as transparent as possible - assets are sold in electronic public auctions, and the bank acts as a direct seller of property.

- What new approaches to working with non-core assets have been introduced at RSHB and what results have they yielded?

- For the sale of property, the bank actively uses all existing mass electronic platforms and services used for information promotion on the market, including its own platform "Own Farming".

Also, for the convenience of specialized investors, we have developed and regularly send potential investors individual property catalogs. Next year, the bank plans to launch its own showcase of collateral and bank property.

An individual approach to sales has allowed us to sell 50% of large non-core assets from the balance sheet of Rosselkhozbank over the past year.At the same time, not always in the framework of the settlement of problem debts, we have the opportunity to take on the balance sheet an asset, which is a single production complex. Often, the assets of one enterprise are owned by several persons, they act as collateral for different banks. The implementation of a single complex in parts leads to the loss of its production and market potential, as well as the impossibility of further specialized operation.

In order to avoid such situations, the Bank actively uses the practice of creating SPV companies, whose task is to combine parts of a single complex on their balance sheets in order to ensure a closed production cycle. The application of this practice allows you to breathe new life into a problem asset and increase the chances of further development of the enterprise's commercial activities.

A striking example of this practice is the SPV-company Tverskoy Brick LLC, which was created to settle the problem debt of LLC Verkhnevolzhsky Brick Factory and consolidate the property complex of a large brick factory on the balance sheet.

As a result of the transaction, SPV consolidated the assets of the brick factory, including production equipment, a railway siding, a gas pipeline, as well as a clay pit and land.

Thanks to this, the assets of the enterprise were "cleared" of debts and claims of third parties, and an opportunity was created for potential investors to purchase a ready-made asset on more favorable terms. Currently, the shares of Tverskoy Brick LLC are being sold at auction, applications are accepted until January 13, 2022.

- Are there any interesting functioning enterprises that are pledged by the Bank under implementation?

- Certainly. The functioning enterprises are also implemented by the bank within the framework of the existing collection procedures.

Thus, among the bank's interesting collateral assets, a special place is occupied by the Bashkir poultry complex located in the city of Meleuz of the Republic of Bashkortostan and specializing in the production of turkey meat. With the support of the Government of the Republic, the bank managed to preserve all the production capacity of the enterprise, which is 30 thousand tons of meat per year in live weight. At the moment, the assets of the complex are successfully managed within the framework of the lease, the products of the poultry complex are presented in retail and wholesale networks of the Republic and neighboring regions. The company can be purchased at a public auction, which will begin immediately after the New Year holidays - January 10, 2022.

You can also note the large shopping center "Cascade" in Cheboksary. The total area of ​​the center is over 52 thousand sq. M. The shopping center is provided with convenient transport accessibility, all significant objects of the city are located nearby. The current occupancy rate of the shopping center is about 75%. The center is rented by the largest Russian and international retail chains; the entertainment area of ​​the center is equipped with a modern six-screen cinema. The shopping center can also be purchased from the auction, applications are already being accepted, the auction will take place on January 12, 2022.
