AMD Completes Acquisition of Xilinx

As expected, AMD today announced that it has completed its acquisition of Xilinx in a full equity deal. In a press release published by AMD, the acquisition, originally announced on October 27, 2020, "creates an industry leader in high-performance and adaptive computing with greatly expanded scale and the strongest portfolio of advanced computing, graphics, and adaptive single-chip products." . AMD expects this acquisition to increase non-GAAP margins and earnings per share, as well as increase free cash flow in the first year after completion of the transaction.

Former Xilinx CEO Victor Peng will join AMD as President of the newly formed Adaptive and Embedded Computing Group (AECG). AECG will specialize in the development of advanced FPGAs, Adaptive SoCs and software, giving the combined company the ability to offer an expanded set of solutions, including AMD processors and GPUs.

Following the closing of the transaction, Xilinx shareholders received 1.7234 AMD Common Shares and cash instead of fractional shares of AMD Common Shares for each Xilinx Common Share. Xilinx Common Shares will no longer be listed on the NASDAQ stock exchange.
